  • Contingency Terms of Business
    For Permanent & Fixed Term Recruitment Services
    1. Definitions

    “Candidate” means any person introduced by Talento Limited to the Client for the purpose of engagement.

    “Client” means the party to whom Talento Limited introduces a Candidate.

    “Engagement” means the Client’s employment, hire, or other use of a Candidate directly or indirectly, whether permanent, temporary, or contract.

    “Introduction” means the provision by Talento Limited to the Client of information identifying a Candidate.

    “Remuneration” includes base salary, guaranteed bonus, commissions, benefits, car allowance, and any other financial payments.

    “Services” means the recruitment services provided by Talento Limited to the Client as set out in these terms.

    2. The Agreement

    These terms constitute the entire agreement between Talento Limited and the Client. They are deemed accepted upon: a) an Introduction of a Candidate, b) the Client interviewing a Candidate, c) the Engagement of a Candidate, d) the Client passing Candidate details to a third party.

    3. Talento’s Obligations

    Talento Limited will use reasonable efforts to introduce suitable Candidates based on the Client’s stated requirements. However, Talento does not guarantee the suitability or availability of Candidates.

    4. Client Obligations

    The Client agrees to: a) Provide accurate vacancy details including job description, salary, and required qualifications; b) Notify Talento immediately upon offering employment to a Candidate; c) Confirm remuneration details; d) Pay all fees due as outlined; e) Maintain confidentiality of Candidate information.

    5. Fees

    The Introduction Fee is calculated as a percentage of the Candidate’s first year total Remuneration:

    • Standard: 25%
    • Exclusive: 20% (subject to separate agreement)

    All fees are subject to VAT.

    6. Fixed Term Contracts

    Fees for fixed term or part time engagements are calculated pro rata. Renewals/extensions beyond 12 months will incur full permanent placement fees.

    7. Invoicing and Payment

    Invoices are issued on Candidate start date and are payable within 14 days. Late payments may incur interest at 5% above HSBC base rate and administrative charges in line with UK late payment legislation.

    8. Cancellation

    If an offer is withdrawn by the Client after acceptance by the Candidate (excluding valid reference failure), Talento reserves the right to charge a 10% administration fee.

    9. Rebate Policy

    Refunds are subject to prior written agreement. Rebate applies only if: a) Talento is notified in writing within 7 days of termination; b) The Candidate leaves within 8 weeks of start; c) Invoices were paid on time.

    10. Confidentiality & Data Protection

    The Client agrees to handle all Candidate data in accordance with the UK GDPR and Data Protection Act 2018. Data is provided solely for recruitment purposes and must not be shared without consent.

    11. Liability

    Talento accepts no liability for loss, damage, or expenses incurred through the Engagement of a Candidate. The Client must undertake necessary checks, including eligibility and references.

    12. Non Solicitation

    If the Client hires Talento staff within 6 months of departure, a fee equal to 25% of the staff member’s estimated annual salary is payable.

    13. Law and Jurisdiction

    These terms shall be governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts.

  • Retainer Terms of Business
    For Exclusive, Retained Recruitment Services
    1. Definitions

    “Candidate” – Any individual introduced by Talento Limited for a position with the Client.

    “Client” – The company or individual to whom Talento Limited provides recruitment services.

    “Engagement” – Any form of employment or use of a Candidate by the Client, directly or indirectly, whether permanent, temporary, or on a consultancy basis.

    “Retained Assignment” – A recruitment project where Talento is engaged exclusively by the Client and paid in phased instalments.

    “Remuneration” – Base salary plus guaranteed bonuses, benefits, and other forms of compensation.

    2. Agreement Scope

    These Terms govern all retained recruitment services between Talento Limited and the Client. They are deemed accepted upon signing a proposal or agreement outlining a Retained Assignment.

    3. Structure of Fees

    Retained fees are invoiced in three phases:

    • Stage 1: Engagement Fee (1/3) – Payable upon signing the assignment.
    • Stage 2: Shortlist Fee (1/3) – Payable upon presentation of an agreed shortlist.
    • Stage 3: Completion Fee (1/3) – Payable upon Candidate’s acceptance of offer.

    Unless otherwise agreed, fees are calculated at 25% of the Candidate’s first year total Remuneration. All fees are subject to VAT.

    4. Exclusivity

    The Client agrees Talento will be the exclusive partner for the vacancy during the assignment term. Any Candidate introduced outside this arrangement who is subsequently engaged by the Client will be considered subject to these Terms.

    5. Payment Terms

    Invoices are payable within 14 days of issue. Late payments are subject to 5% interest above HSBC base rate and recovery costs under the Late Payment of Commercial Debts Regulations.

    6. Cancellation

    Should the Client cancel the assignment before completion:

    • Stage 1 and Stage 2 fees remain payable.
    • If cancelled after shortlisting but before completion, Talento reserves the right to invoice a final cancellation fee of 10% of expected Remuneration in lieu of the Completion Fee.
    7. Replacement Guarantee

    Where a Candidate leaves within 12 weeks of employment, Talento will provide one replacement Candidate at no additional cost. This guarantee applies only if:

    • All fees were paid on time;
    • Termination was not due to redundancy or restructuring;
    • The role remains materially the same.
    8. Client Obligations

    The Client must:

    • Provide accurate vacancy information;
    • Offer prompt feedback on profiles and interviews;
    • Inform Talento of any engagement outcomes within 2 working days.
    9. Confidentiality & Data

    Client agrees to treat all Candidate information as confidential. All data must be used strictly for recruitment purposes, in accordance with GDPR.

    10. Liability

    Talento makes reasonable efforts to assess suitability but accepts no liability for loss or damage arising from a Candidate’s performance or engagement.

    11. Law & Jurisdiction

    These Terms shall be governed by English law and subject to the jurisdiction of the courts of England and Wales.
